it will defintely give you headroom for some OC'ing which in turn would yield some extra performance. The extra memory too will make some of the newer games run a WHOLE lot smoother as well.

in your opinion it would be worthwhile making this upgrade? what about twinx2048-3500LLPRO ddr433 @ 2-3-2-6 1T killer timings somewhat more expensive, would this be faster than the 4000pt ? is it worth the extra pennys

well. Whenever you overclock You want to loosen the timings. When you start hitting higher bus speeds it actually compensates for the slower latency. So if you can get the pc4000 sticks and be able to OC High still at tight timings, try loosening the timings and with that you can more than likely go farther. But as with ALL overclocking everything that works great on someone elses system may completely bog on your system. Even if every component is the same. If your truly interested in this. Check out the Overclocking section in the Processors and Overclocking topic.

on my msi k8n sli platinum in bios there's a menu for dram settings where one of the settings is dram fsb which i can change 216-222-250. anyway if i change it to 250 to get ddr500 for my twinx2048-4000pt will the cpu fsb change as well? do i need to set a lower multiplier for the cpu [amd x2 3800+ @2000mhz]
